Version 1.0 · Effective date: 15 October 2026 · Last updated: 15 October 2026

1. ABOUT THESE TERMS

1.1 Who we are. "Kwikza", "we", "us" and "our" mean Kwikza Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at Flat No. C-105, S. No. 39/24, Windsor County, Ambegaon BK, Haveli, Pune 411046, Maharashtra, CIN U62011PN2026PTC251379, recognised by DPIIT under certificate no. DIPP264355.

1.2 Who you are. "Seller", "you" and "your" mean any individual, sole proprietor, partnership, LLP, company or other person who registers on the Kwikza platform to list or sell goods or services. This includes shops, restaurants, cafés, bakeries, home kitchens, home-based makers and online sellers. If you register on behalf of a business, you confirm that you are authorised to bind that business to these Terms.

1.3 What these Terms cover. These Terms govern your use of the Kwikza website, web app, mobile app, seller dashboard, point-of-sale (POS) tools, KWIKbot, delivery booking, payment collection and all related services (together, the "Platform" or "Services").

1.4 Acceptance. You accept these Terms by ticking the acceptance checkbox at the end of seller onboarding, or by using the Platform. If you do not agree, do not complete registration or use the Platform. These Terms are an electronic record under the Information Technology Act, 2000 and do not require a physical or digital signature.

1.5 Other documents. These Terms include, and should be read with:

  • the Kwikza Privacy Policy;
  • the Fees and Charges Schedule (Schedule A);
  • the Prohibited and Restricted Items Policy (Schedule B);
  • the Data Processing Terms (Clause 12 and Schedule C);
  • any category-specific rules we publish (for example, food or jewellery).

If these Terms and any of those documents conflict, these Terms prevail unless the document expressly says otherwise.

1.6 Eligibility. To use the Platform you must:

  • (a) be at least 18 years old and competent to contract under the Indian Contract Act, 1872;
  • (b) be resident in, or carrying on business in, India;
  • (c) not have been previously suspended or removed from the Platform.

2. THE PLATFORM AND OUR ROLE

2.1 Marketplace and tools. Kwikza provides technology that lets you:

  • (a) create an online store and list your products;
  • (b) receive and manage online orders from customers ("Customers");
  • (c) bill counter sales (Kwikza Pro);
  • (d) book third-party delivery;
  • (e) receive payments through a licensed payment aggregator;
  • (f) be discovered by Customers near you ("Discovery").

2.2 We are an intermediary, not the seller. Kwikza acts as an intermediary and marketplace e-commerce entity. The contract of sale for any product is between you and the Customer. Kwikza does not own, stock, manufacture, inspect, sell or deliver your products. You alone are responsible for:

  • your products and their quality, safety, legality, description, pricing, packaging and labelling;
  • fulfilment of every order you accept.

2.3 No endorsement. Listing a product on the Platform, or giving a Seller a badge or ranking, is not an endorsement or guarantee by Kwikza.

2.4 Changes to the Platform. We may add, change, suspend or discontinue any feature at any time. Where a change materially reduces the core Services you use, we will give you reasonable notice where practicable.

3. REGISTRATION, KYC AND VERIFICATION

3.1 Accurate information. You must give true, complete and current information during onboarding and keep it up to date. This includes:

  • your legal and trade name;
  • business address and contact details;
  • PAN;
  • GSTIN (where applicable);
  • bank account details;
  • the licences relevant to your category, such as FSSAI registration or licence, drug licence, Shops and Establishments registration or trade licence.

3.2 Verification. You authorise Kwikza and its verification partners to verify your identity, business and licences using government databases and third-party KYC services. Our payment aggregator partner may also carry out its own KYC on you under RBI rules. We may refuse, delay or reverse onboarding, or limit your account, if verification fails or information appears false or incomplete.

3.3 Licences are your responsibility. You must obtain, keep valid and display (where the law requires) every registration, licence and permission needed to sell your products. You must:

  • upload renewed licences before expiry;
  • tell us immediately if any licence is suspended, cancelled or expires.

We may automatically disable listings whose required licence has expired.

3.4 Account security. You are responsible for:

  • keeping your login, OTP and dashboard access secure;
  • everything done through your account, including by your staff.

Tell us immediately at support@kwikza.com if you suspect unauthorised access.

3.5 One account per business. Do not create multiple accounts to get around fees, ratings, limits or suspensions.

4. LISTINGS AND PRODUCT INFORMATION

4.1 Accurate listings. Every listing must be accurate, complete and not misleading. Where applicable, it must include:

  • the product name and description;
  • real images of the actual product;
  • price inclusive of all taxes;
  • quantity or weight;
  • variants;
  • veg/non-veg marking for food;
  • ingredients or allergens where relevant;
  • best-before or expiry date for packaged goods;
  • country of origin;
  • for imported goods, importer details;
  • your return, exchange, refund and cancellation terms.

4.2 Packaged goods. For pre-packaged commodities you must display the declarations required by the Legal Metrology (Packaged Commodities) Rules, 2011:

  • name and address of the manufacturer, packer or importer;
  • generic name;
  • net quantity;
  • MRP inclusive of all taxes;
  • month and year of manufacture, packing or import;
  • best-before or use-by date;
  • country of origin;
  • consumer care details.

4.3 Pricing.

  • You set your own prices.
  • You must not charge a Customer more than the price displayed at the time of order, or more than the MRP.
  • Any "discount", "sale" or "was" price must be genuine and comply with applicable law, including the requirement to reference a genuine prior price.

4.4 AI-generated or edited images. If any image or content is synthetically generated or materially altered, you must label it as required by law and our guidelines, and it must not misrepresent the actual product.

4.5 Our rights over listings. We may edit formatting, categorise, rank, hide, suspend or remove any listing that:

  • breaches these Terms or the law;
  • receives credible complaints;
  • is reported by a government authority.

Ranking and visibility in Discovery depend on factors including distance, availability, ratings, order history, fulfilment performance and relevance. We may publish a summary of the main ranking parameters.

4.6 Reviews and ratings. You must not:

  • post, buy, incentivise without disclosure, or manipulate reviews or ratings;
  • pose as a Customer;
  • pressure Customers to change or remove reviews.

We may remove reviews that we reasonably believe are fake or abusive.

5. PROHIBITED AND RESTRICTED ITEMS AND CONDUCT

5.1 Prohibited items. You must not list or sell any item that is illegal, or prohibited by Schedule B. This includes:

  • alcohol, tobacco and nicotine products, narcotics and psychotropic substances;
  • medicines and drugs of any kind (prescription or over-the-counter). The pharmacy category is not currently offered on the Platform;
  • weapons and explosives;
  • counterfeit or infringing goods;
  • stolen goods;
  • live animals other than as legally permitted;
  • adult content;
  • hazardous materials;
  • any item whose sale requires a licence you do not hold.

5.2 Prohibited content. You must not upload or share any content that:

  • (a) belongs to someone else and that you have no right to use;
  • (b) is obscene, pornographic, paedophilic, invasive of privacy, or harmful to children;
  • (c) infringes any patent, trademark, copyright or other proprietary right;
  • (d) deceives or misleads about its origin, or knowingly communicates false information;
  • (e) impersonates another person;
  • (f) threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states or public order, or incites any offence;
  • (g) contains viruses or malicious code;
  • (h) violates any law in force.

5.3 Prohibited conduct. You must not:

  • (a) manipulate prices, search results, ratings or Platform systems;
  • (b) use dark patterns, such as false urgency, drip pricing, hidden charges, basket sneaking or bait and switch;
  • (c) scrape, copy or reverse-engineer the Platform;
  • (d) use the Platform for money laundering, fraud or any unlawful purpose;
  • (e) harass or abuse Customers, riders or Kwikza staff;
  • (f) circumvent the Platform as described in Clause 13.

5.4 Takedown. We will act on a court order or a notice from an appropriate government authority within the timelines required by law, and may remove content immediately on such an order. You agree to cooperate.

6. ORDERS, FULFILMENT AND DELIVERY

6.1 Accepting orders. You must accept or reject each online order promptly. An order is binding on you once you accept it. Do not accept orders you cannot fulfil.

6.2 Fulfilment standards. You must:

  • prepare and pack orders hygienically, securely and accurately;
  • hand them over within the preparation time you set;
  • keep your store's opening hours, stock status and delivery radius up to date.

6.3 Delivery options. For each order you may choose:

  • (a) Kwikza delivery, through our third-party delivery partners;
  • (b) self-delivery, by your own staff;
  • (c) customer pickup.

For self-delivery and pickup, you are fully responsible for the delivery and for the safety and quality of the goods until handover. For Kwikza delivery, the delivery partner is responsible for transit once the order is picked up against the pickup code. You remain responsible for the correctness, quality and packaging of the goods.

6.4 Delivery charges.

  • Kwikza delivery charges are shown to you before you confirm a booking and are deducted from your prepaid Kwikza Wallet.
  • Current rates are in Schedule A.
  • You may choose to pass delivery charges on to Customers in line with the Platform's settings. Any delivery fee shown to the Customer must be disclosed before checkout.

6.5 Cancellations by you.

  • You must not cancel accepted orders except for genuine reasons, such as an item becoming unavailable or a force majeure event.
  • If you cancel, the Customer will receive a full refund. You may be charged any delivery cost already incurred.
  • Repeated cancellations may lower your ranking or lead to suspension.

6.6 Cancellations by Customers. Customers may cancel orders in line with the cancellation policy you display and the Platform's rules. You must not charge Customers a cancellation fee unless it was clearly disclosed before the order.

6.7 Returns, refunds and replacements.

  • You must publish clear return, exchange and refund terms for your category.
  • You must not refuse a return, replacement or refund where the goods or services are defective, deficient, spurious, wrong, missing, damaged, expired, or not as described or shown.
  • For perishable food, the policy may be limited to wrong, missing, damaged, spoiled or unsafe items, reported within the window shown on the Platform.
  • Refunds are made to the Customer's original payment method.
  • You authorise Kwikza to deduct the refund amount from your payouts in line with Clause 9.6.

6.8 Customer complaints.

  • Respond to Customer complaints routed to you through the Platform within 24 hours.
  • Cooperate with Kwikza to resolve complaints within the timelines required by law.

7. CATEGORY-SPECIFIC TERMS

7.1 Food (restaurants, cafés, bakeries, sweet shops, home kitchens). You must:

  • (a) hold a valid FSSAI licence or registration for your business. Home-based and petty food businesses must hold at least FSSAI basic registration. Display your FSSAI number on your store.
  • (b) comply with the Food Safety and Standards Act, 2006 and its regulations, including hygiene, labelling and allergen information.
  • (c) correctly mark every dish veg or non-veg, and disclose common allergens where known.
  • (d) supply packaged foods with at least the minimum remaining shelf life required by FSSAI directions for e-commerce.
  • (e) use food-grade, tamper-evident packaging.
  • (f) remain solely liable for food safety, quality, and any illness or harm caused by your food.

7.2 Custom orders (for example, custom cakes). Any quote you send for a custom order must be final and inclusive of taxes. Once the Customer pays, you must deliver the item as agreed (design, size, flavour, date). Design variation within reasonable artistic limits is allowed only if it was disclosed beforehand.

7.3 Clothing, jewellery, handicrafts and other goods. Product descriptions must state:

  • material, size and measurements;
  • colour (subject to reasonable screen variation);
  • care instructions;
  • for jewellery, whether it is real precious metal, plated or imitation. Real gold and silver must comply with BIS hallmarking where applicable.

7.4 Home-based and individual sellers. You confirm that you hold any registration your local laws require to sell from home. You are responsible for your own income-tax and GST compliance.

8. FEES AND CHARGES

8.1 Kwikza Free. Listing your store and products on Kwikza is free. There is no monthly fee and no setup fee. Kwikza charges a platform fee only on completed online orders placed through the Platform:

  • (a) 4.5% of the order value on orders from your own customers, meaning Customers who reach your store through your store link, your QR code, your WhatsApp bill link, or who have saved your store;
  • (b) 10% of the order value on orders from new customers brought by Kwikza through Discovery, meaning Customers who first reach your store through Kwikza's in-app discovery, search or listings.

How an order is classified as 4.5% or 10% is determined by the Platform's records, which are final except for manifest error. You may raise a query within 15 days of the payout statement.

8.2 What the platform fee includes. The platform fee includes payment gateway charges and Kwikza's own GST on the platform fee. It does not include:

  • (a) delivery charges for Kwikza delivery (Clause 6.4);
  • (b) taxes collected or deducted at source as required by law (Clause 10);
  • (c) any optional paid services you choose, such as promoted listings or AI scan credits.

8.3 Kwikza Pro.

  • Kwikza Pro is an optional subscription for shops with a counter. It includes POS billing, a single inventory across counter and online, analytics and other features described on the Platform.
  • It is priced at ₹999 per month (inclusive of GST) or as displayed at the time of purchase.
  • No platform fee applies to counter (in-store) sales billed through Kwikza Pro, because those payments are not collected by Kwikza.
  • Pro is billed monthly in advance and does not renew automatically. We will remind you before your paid period ends. If you do not pay for the next period, Pro features pause at the end of the paid period and your store continues on Kwikza Free. You may stop Pro at any time from your dashboard in one step.
  • If Kwikza later introduces automatic renewal, it will apply only after you give separate, explicit consent, and you will be notified before every renewal charge.
  • Subscription fees already paid are non-refundable except where required by law or where Kwikza fails to provide the Service.

8.4 Fee changes. We may change our fees with at least 30 days' notice by email, SMS, WhatsApp or dashboard notification. Changes do not apply to orders placed before the effective date. If you do not agree, you may stop using the affected Service before the change takes effect.

8.5 Invoices. Kwikza will issue GST-compliant tax invoices for its fees and subscriptions.

9. PAYMENTS, PAYOUTS AND SET-OFF

9.1 Payment collection. Customer payments for online orders are collected by a payment aggregator authorised by the Reserve Bank of India ("PA") and held in accordance with RBI rules. Kwikza does not hold Customer funds in its own account. You appoint Kwikza as your limited agent to:

  • (a) accept payment from Customers on your behalf through the PA;
  • (b) instruct the PA to settle amounts to you.

A Customer's payment to the PA discharges the Customer's obligation to pay you.

9.2 Payout timeline. Kwikza will instruct settlement of the net amount due for completed online orders to your verified bank account within two (2) business days of the order being delivered or completed (T+2). Payouts may be delayed:

  • by bank holidays;
  • by PA or banking delays;
  • by incomplete KYC;
  • where Clause 9.5 applies.

9.3 Net amount. The amount paid to you equals the order value received less:

  • (a) platform fees;
  • (b) refunds and chargebacks;
  • (c) taxes collected or deducted at source under law;
  • (d) any other amounts you owe Kwikza under these Terms.

9.4 Payout statements. You can view order-wise payout statements in your dashboard.

9.5 Holds and reserves. We may hold payouts, or keep a reasonable reserve, where we reasonably suspect:

  • fraud;
  • a breach of these Terms;
  • an unusually high level of complaints, cancellations or chargebacks;
  • a legal or regulatory requirement.

We will tell you the reason where the law allows, and release held amounts once the issue is resolved.

9.6 Set-off. You authorise Kwikza to deduct from any payout, or from your Kwikza Wallet balance, any amount you owe Kwikza or Customers under these Terms. This includes refunds, chargebacks, delivery charges, fees, penalties imposed on Kwikza because of your breach, and amounts under Clause 15. If payouts are not enough, you must pay the balance within 7 days of our invoice.

9.7 Kwikza Wallet.

  • The Wallet is a prepaid balance used only to pay Kwikza for delivery bookings and optional paid services.
  • It is not a bank account or a payment instrument. It earns no interest and cannot be transferred.
  • On account closure, any unused balance will be refunded to your verified bank account, after deducting amounts owed, within 30 days.

9.8 Chargebacks. You must provide proof of delivery, invoices and other documents within the time we specify. If a chargeback is decided against you, you bear the amount.

10. TAXES

10.1 Your taxes. You are solely responsible for all taxes on your sales, including GST registration (where required), charging and paying GST, filing returns, and income tax.

10.2 TCS under GST. Where the law requires, Kwikza as an electronic commerce operator will collect tax at source under Section 52 of the CGST Act, 2017 at the applicable rate (currently 0.5% of the net value of taxable supplies). It will deposit this with the government and report it, and it will reflect in your GST electronic cash ledger.

10.3 TDS under income tax. Where the law requires, Kwikza will deduct tax at source under the applicable provision of the Income-tax law for e-commerce operators (currently 0.1% of gross sales, or a higher rate where PAN is not provided). It will issue the prescribed certificates.

10.4 Restaurant services (Section 9(5) of the CGST Act).

  • For restaurant services supplied through the Platform, Kwikza, as the electronic commerce operator, collects GST at 5% from the Customer and pays it to the government under Section 9(5) of the CGST Act, 2017 and the related notifications.
  • On these orders you must not charge or collect GST separately from the Customer, and you must not treat the tax paid by Kwikza as your own output tax.
  • You must classify your listings correctly (for example, restaurant service or packaged goods) so the right tax treatment applies. Kwikza may adjust or recover amounts as permitted by law.

10.5 Tax information. You must provide accurate PAN and GSTIN details. You indemnify Kwikza for any tax, interest or penalty arising from incorrect information you provide.

11. INTELLECTUAL PROPERTY

11.1 Your content. You keep ownership of your trade name, logo, product images and descriptions ("Seller Content"). You grant Kwikza a non-exclusive, royalty-free, worldwide licence, for as long as you use the Platform plus a reasonable wind-down period, to host, display, reproduce, adapt (for formatting), and use Seller Content. This covers operating the Platform and promoting your store and the Platform, including in Discovery, marketing materials and social media.

11.2 Your warranty. You warrant that you own or have the rights to all Seller Content, and that it does not infringe anyone's rights.

11.3 Kwikza's IP. The Platform, software, KWIKbot, designs, the "Kwikza" name and logo, and all related intellectual property belong to Kwikza or its licensors. You get only a limited, revocable, non-transferable right to use the Platform in line with these Terms. You may use the Kwikza name and logo only on Kwikza-provided materials (such as QR standees) or as we approve.

11.4 Feedback. If you give us feedback or suggestions, we may use them freely without obligation to you.

12. DATA PROTECTION AND PRIVACY (DPDP ACT, 2023)

12.1 Our role. For personal data of Customers collected through the Platform (such as name, phone number, delivery address and order history), Kwikza acts as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 and the DPDP Rules, 2025 ("DPDP Law").

12.2 Your role when fulfilling orders. When we share Customer personal data with you so you can fulfil an order, you process it on Kwikza's behalf as a Data Processor, and only for the following purposes ("Permitted Purposes"):

  • (a) preparing, packing, delivering or arranging pickup of that order;
  • (b) contacting the Customer about that order;
  • (c) issuing invoices and handling returns, refunds and complaints for that order;
  • (d) complying with legal obligations, such as tax records.

12.3 Your own customers. Personal data that you collect directly from your own customers (for example, at your counter through Kwikza Pro billing, or through your own store link) may be used by you for your own lawful purposes, provided you have obtained valid consent or have another lawful basis under DPDP Law. For such data, you are an independent Data Fiduciary and solely responsible for complying with DPDP Law. That includes giving notice, obtaining and recording consent, honouring withdrawal and rights requests, and deleting data. Where you use Kwikza's tools (for example, WhatsApp bills) to process such data, Kwikza processes it on your behalf as your processor.

12.4 Discovery customers are protected. To protect Customer privacy, Kwikza may mask the phone number and other contact details of Customers who reach you through Discovery. You must not try to unmask, collect or obtain these details for any purpose other than the Permitted Purposes.

12.5 Your obligations for Customer data. You must:

  • (a) use Customer data only for the Permitted Purposes, and never for marketing, profiling, or contacting the Customer for unrelated purposes, unless the Customer has given separate consent captured through the Platform;
  • (b) never sell, rent, share, publish, or transfer Customer data to any third party, except your own staff or delivery person who need it to fulfil the order, under the same obligations;
  • (c) keep Customer data secure, with reasonable safeguards: restricted staff access, no copying to personal devices or unsecured groups, and no screenshots shared outside order fulfilment;
  • (d) delete Customer data received from Kwikza once the order and any return or complaint window is complete, except where the law requires you to keep records;
  • (e) notify Kwikza within 24 hours at support@kwikza.com of any actual or suspected personal data breach involving Customer data, and give full cooperation, so Kwikza can meet its legal reporting duties (including to the Data Protection Board within 72 hours);
  • (f) promptly help Kwikza respond to Customer requests to access, correct, or erase their data, or to withdraw consent;
  • (g) allow Kwikza, on reasonable notice, to verify your compliance with this Clause;
  • (h) comply with any further Data Processing Terms in Schedule C.

12.6 Children. You must not knowingly collect or use personal data of children (under 18) through the Platform except as permitted by DPDP Law with verifiable parental consent.

12.7 Your personal data. Kwikza processes your own personal data (and that of your staff whose details you provide) in accordance with the Kwikza Privacy Policy. This covers onboarding, KYC, payouts, tax compliance, support, fraud prevention, Platform improvement and legal compliance. You confirm that you have authority to share your staff's details with us.

12.8 Breach of this Clause. A breach of Clause 12 is a material breach. We may immediately suspend your account, and you must indemnify Kwikza under Clause 15 for any penalty, claim or loss resulting from it.

13. NON-CIRCUMVENTION

13.1 For Customers who first reach you through Kwikza Discovery, you agree not to directly or indirectly divert or attempt to divert them to transact with you outside the Platform to avoid platform fees. This includes:

  • asking them to pay you directly;
  • giving your personal number for future orders;
  • inserting off-platform contact or ordering details in the parcel to bypass Kwikza.

This applies for 12 months from the Customer's first Discovery order with you.

13.2 This Clause does not restrict your relationship with your own customers (Clause 8.1(a)).

13.3 If you breach this Clause, Kwikza may:

  • charge the platform fee it would have earned on the diverted orders, as reasonably estimated;
  • reduce your Discovery visibility;
  • suspend your account.

14. WARRANTIES

14.1 Your warranties. You represent and warrant that:

  • (a) all information you provide is true and complete;
  • (b) you hold and will maintain all licences required for your business and products;
  • (c) your products are genuine, safe, of merchantable quality, fit for purpose, correctly described, and legally sold;
  • (d) you will comply with all applicable laws. These include the Consumer Protection Act, 2019 and E-Commerce Rules, the Food Safety and Standards Act, the Drugs and Cosmetics Act, the Legal Metrology Act, GST and tax laws, DPDP Law, the IT Act, labour laws, and the Shops and Establishments Act;
  • (e) you are not subject to any sanctions or legal prohibition on carrying on your business.

14.2 Platform provided "as is".

  • The Platform is provided on an "as is" and "as available" basis.
  • We will use reasonable efforts to keep it available and secure. However, we do not guarantee that it will be uninterrupted or error-free, or that it will produce any particular level of orders, sales or revenue.
  • Kwikza does not guarantee any minimum number of orders or Customers.

14.3 Third-party services. Delivery, payment, KYC, messaging (including WhatsApp), mapping and other third-party services are provided by independent third parties under their own terms. Kwikza is not responsible for their acts or omissions. We will reasonably help you raise issues with them.

15. INDEMNITY

15.1 You will indemnify, defend and hold harmless Kwikza, its directors, employees, partners and agents from and against all claims, demands, losses, damages, penalties, fines, costs and expenses, including reasonable legal fees. This applies to anything arising out of or relating to:

  • (a) your products, including product liability, food safety, health harm, and defects;
  • (b) your breach of these Terms or of any law;
  • (c) your misuse of personal data or breach of Clause 12;
  • (d) infringement of any third party's intellectual property by your Seller Content or products;
  • (e) any tax, interest or penalty caused by your incorrect information or non-compliance;
  • (f) the acts or omissions of your staff, agents or self-delivery personnel.

15.2 Kwikza will notify you of any claim reasonably promptly and may choose to control its own defence.

16. LIMITATION OF LIABILITY

16.1 To the maximum extent permitted by law, Kwikza will not be liable for any indirect, incidental, special, consequential or punitive loss. It is also not liable for loss of profits, revenue, business, goodwill, or data, even if advised of the possibility.

16.2 Kwikza's total aggregate liability to you arising out of or relating to these Terms in any 12-month period will not exceed the total platform fees and subscription fees you paid to Kwikza in the 3 months before the event giving rise to the claim.

16.3 Nothing in these Terms limits liability that cannot be limited by law, including for fraud or wilful misconduct.

17. SUSPENSION AND TERMINATION

17.1 By you. You may close your account at any time from your dashboard or by writing to support@kwikza.com, after fulfilling all accepted orders. Kwikza Pro cancellation is governed by Clause 8.3.
